Activity:
Necker Finance (Suisse) SA offers asset management and global investment advisory services to private, professional and institutional clients.

Legal form:
Necker Finance (Suisse) SA is a public limited company under Swiss law, in accordance with articles 620 et seq. of the Swiss Code of Obligations.

Supervision:
Necker Finance (Suisse) SA is a financial institution within the meaning of the Federal Law on Financial Institutions (LEFin), authorized by the Swiss Financial Market Supervisory Authority (FINMA), located at Laupenstrasse 27, 3003 Berne, and supervised by the supervisory body AOOS, located at rue Rousseau 30, 1201 Geneva.
Necker Finance (Suisse) SA is also affiliated with and supervised by AOOS for compliance with its obligations to combat money laundering and the financing of terrorism.

Customer classification:
Necker Finance (Suisse) SA classifies its customers according to the classification criteria introduced by the LSFin, i.e. private customers (benefiting from the highest level of protection), professional customers (intermediate level of protection) and institutional customers (benefiting from the lowest level of protection).

Asset management
Under an asset management mandate, the client delegates discretionary management of his assets to Necker Finance (Suisse) SA, in return for a fee. Necker Finance (Suisse) SA takes investment decisions in accordance with the investment strategy agreed with the client (his “Investment Profile”), which is determined on the basis of the client’s risk profile. Necker Finance (Suisse) SA checks that the investment strategy is appropriate to the customer’s risk profile (suitability test).

Comprehensive investment advice
When Necker Finance (Suisse) SA provides comprehensive investment advice for a fee, the investment decision is made by the customer. Necker Finance (Suisse) SA only issues investment recommendations concerning the purchase or sale of financial instruments, leaving it up to the customer to decide whether or not to follow the recommendation. The advice provided is global, in the sense that it takes into account the customer’s entire portfolio and its asset allocation, in order to define an investment strategy (Investment Profile) tailored to the customer’s risk profile.
As part of its investment advice service, Necker Finance (Suisse) SA offers two distinct mandates: an advisory mandate with transmission of the customer’s instructions by Necker Finance (Suisse) SA, and an advisory mandate without transmission of instructions, in which case the customer must himself communicate his investment instructions to his custodian bank.

Risk information:
All financial instruments present risks and can generate losses.
General risks relating to financial instruments are detailed in the Swiss Bankers Association (SBA) brochure “Risks inherent in trading in financial instruments”, which can be downloaded free of charge from the Swiss Bankers Association (SBA) website (https://www.swissbanking.ch/fr/telechargements). The customer may also request a copy. The customer may also request a copy from Necker Finance (Suisse) SA.
Risks specific to the asset management service offered by Necker Finance (Suisse) SA (e.g. risks relating to the investment strategy agreed with the customer) are indicated in the mandate submitted to the customer and are provided orally to the customer by the advisor before the customer selects an investment strategy (the Investment Profile). The same applies to the risks arising from the provision of comprehensive investment advice.
Necker Finance (Suisse) SA’s advisor will be happy to provide the customer with any additional information on the investment strategy, as well as on any financial instruments that may be used.

Information on fees:
The fees for asset management and investment advisory services provided by Necker Finance (Suisse) SA are set out in the mandates.

Economic relations with third parties concerning the financial services offered:
Necker Finance (Suisse) SA may have economic relations with third parties enabling it to benefit from advantages (in the form of remuneration) which could give rise to a conflict of interest vis-à-vis the customer in relation to the financial services provided by Necker Finance (Suisse) SA.
These advantages result from agreements with third parties (such as banks or representatives of financial instruments) under which Necker Finance (Suisse) SA may receive a percentage of the commissions charged by these third parties. This is particularly the case for collective investment schemes in the Tailor Capital Group, whose management company, Tailor Asset Management, is economically linked to Necker Finance (Suisse) SA and to one
of its main shareholders.
The calculation parameters and value range of the remunerations that Necker Finance (Suisse) SA may receive are duly disclosed to the client in the asset management or investment advisory mandate, so as to enable the client to validly waive the right to request the transfer of these remunerations in his favor.
In any case, Necker Finance (Suisse) SA has taken adequate organizational measures to avoid any disadvantage for its clients.

Market offer taken into consideration for the selection of financial instruments:
The market offer taken into consideration by Necker Finance (Suisse) SA for the selection of financial instruments consists partly of third-party financial instruments and partly of financial instruments of the Tailor Capital Group (collective investment schemes), with which Necker Finance (Suisse) SA has a business introducer relationship.

Mediation:
In the event of any dispute relating to the financial services provided by Necker Finance (Suisse) SA, the customer may initiate mediation proceedings with the mediation body with which Necker Finance (Suisse) SA is affiliated (for example, in the event of Necker Finance (Suisse) SA refusing a right asserted by the customer, but also at any time).
The mediation body with which Necker Finance (Suisse) SA is affiliated is OFS Ombud Finance Suisse, located rue du Conseil-Général 10, 1205 Geneva.
